This Legal Notice and Liability Clause forms an integral part of your use of Syro ERP software and services provided by Solver ERP Softwares ("Company", "We", "Our"). By accessing or using Syro ERP, the Client/User agrees to these terms. These provisions are intended to allocate risk fairly and limit exposure consistent with the nature of SaaS services.

1. Intellectual Property Rights
All software code, database structure, design elements, branding, user interface, documentation, and any other materials comprising Syro ERP are the exclusive intellectual property of Solver ERP Softwares, protected under applicable Indian laws including the Copyright Act, 1957, and Information Technology Act, 2000.
Any unauthorized copying, reverse engineering, decompiling, disassembly, redistribution, resale, modification, or creation of derivative works is strictly prohibited and may result in civil and/or criminal liability.

2. Service Disclaimer
Syro ERP is provided on an “as-is” and “as-available” basis, without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted/error-free operation.
The Company does not warrant that the service will meet your specific requirements, achieve intended results, or be compatible with all systems. Use of the service is at your sole risk.

3. Limitation of Liability
To the fullest extent permitted by law, Solver ERP Softwares, its directors, officers, employees, and affiliates shall under no circumstances be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
- Business interruption or downtime
- Loss of data, profits, revenue, goodwill, or anticipated savings
- Third-party service downtime or failures
- Government portal unavailability, regulatory changes, or compliance issues
Our total aggregate liability for any and all claims arising out of or related to this Agreement (whether in contract, tort, or otherwise) shall not exceed the total subscription fees actually paid by the Client in the six (6) months immediately preceding the event giving rise to the claim. This cap applies even if advised of the possibility of such damages and notwithstanding any failure of essential purpose.

4. Third-Party Integration
Syro ERP may integrate with third-party services such as SMS gateways, payment gateways, hosting/cloud providers, and government portals.
We are not responsible or liable for the performance, availability, security, pricing changes, policy updates, data handling, or any issues arising from these third-party services. Any claims related to third parties must be directed to the respective provider.

5. Force Majeure
The Company shall not be liable for any failure or delay in performance due to events beyond its reasonable control (Force Majeure), including but not limited to natural disasters, acts of God, war, terrorism, riots, government actions/restrictions, internet or power outages, cyber-attacks, pandemics, or labor disputes.
The affected party shall notify the other as soon as practicable and resume performance when the event ends.

6. Governing Law & Jurisdiction
This Agreement and any related disputes shall be governed exclusively by the laws of India, without regard to conflict of laws principles.
Exclusive jurisdiction for any disputes, claims, or actions shall lie with the competent courts located in Prayagraj, Uttar Pradesh, India.

7. Modification of Terms
Solver ERP Softwares reserves the right to modify, amend, or update these terms at any time, with or without prior notice. Updated terms will be posted on our website or notified via email/other channels.
Continued use of Syro ERP following such changes constitutes acceptance of the revised terms.
These provisions constitute a material part of the agreement between the parties and reflect a reasonable allocation of risk. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
